What is EDGAR?

EDGAR is an acronym that stands for Electronic Data Gathering And Retrieval. EDGAR is an automated system through which the SEC collects, validates, accepts, and indexes submissions by companies and other filers.

Documents submitted to EDGAR must be properly formatted and prepared per the SEC's stringent guidelines. These guidelines can be found in the EDGAR Filer Manual which can be downloaded from the SEC's EDGAR information page here.

As an EDGAR filing agent and EDGAR conversion software developer, EDGARfilings has been filing with EDGAR since the EDGAR system began.

When is the EDGAR system available for filing?

The EDGAR system is available Monday through Friday from the hours of 6am to 10pm, Eastern time. The table below summarizes the availability of the different EDGAR services.

How do I register a company or individual as an EDGAR filer?

Registering a company or individual as an EDGAR filer requires an application by the company or individual for filing codes. These filing codes grant access to the EDGAR system.

A company or individual must have filing codes before they can interact with EDGAR as a filer or subject company.

What are filing codes?

The SEC identifies EDGAR filers through a set of filing codes. These codes not only identify the filer but also grant the filer access to the EDGAR system.

There are five components to the filing codes. They are the CIK, CCC, Password, PMAC, and Passphrase. Each is defined below.

CIK

The Central Index Key is a unique number assigned by the SEC, distinguishing the company or individual to which it is assigned. The CIK is used by EDGAR is ten digits in length and is available publicly through the EDGAR system.

CCC

The CIK Confirmation Code is an eight-character code that EDGAR uses in conjunction with the CIK to authenticate a filer. The CCC contains at least one number, one special character, and is case-sensitive. The CCC is not available to the public and should be kept confidential from anyone not involved in the EDGAR filing process.

Password

The Password is used in combination with a CIK to identify the filer making a submission. The Password consists of eight characters with at least one number and one special character. It is case-sensitive. The Password is not available to the public and should be kept confidential from anyone not involved in the EDGAR filing process.

PMAC

The Password Modification Authorization Code is used to authorize a change of password. The PMAC is eight characters long with at least one number, one special character, and is case-sensitive. The PMAC is not available to the public and should be kept confidential from anyone not involved in the EDGAR filing process.

Passphrase

The Passphrase is used in combination with a CIK to authorize a change in CCC, Password, or PMAC. The Passphrase is eight characters long with at least one number and one special character. It is case-sensitive. The Passphrase is not available to the public and should be kept confidential from anyone not involved in the EDGAR filing process.

I've lost my filing codes. What do I do?

If you have your Passphrase:

  1. Go to the EDGAR Filer Management site at https://www.filermanagement.edgarfiling.sec.gov/

  2. Use the Generate Access Codes (New/Replacement) link.

  3. Enter your CIK and Passphrase and press the Generate Access Codes button.

If you do not have your Passphrase:

  1. Go to the EDGAR Filer Management site at https://www.filermanagement.edgarfiling.sec.gov/
  2. Use the Update Passphrase link.
  3. Enter your CIK, a new Passphrase, the reason for the request, and press the Update Passphrase button.
  4. Print the acceptance screen and write the following information on the page:

    • Contact name
    • Email address
    • Phone number
    • Fax number
    • Position (if applicable)
    • Typed Signature
  5. Sign and notarize the printed page.
  6. Fax the completed page to the SEC at 202.504.2474.
  7. Once processed, the SEC will send an acceptance message to the email address on file for the CIK provided.

    If there is no email address on file for the provided CIK or the email address is no longer valid, contact the EDGAR support group at 202.942.8900 to obtain a verbal acceptance of the updated Passphrase.

  8. Once the new Passphrase has been confirmed, use it in conjunction with your CIK to generate new filing codes per the instructions above.
